Biography
Kristian specializes in corporate law, mergers and acquisitions, real estate and infrastructure projects, foreign investment and financial operations. In December 2015, he obtained a law degree from the Universidad Iberoamericana in Mexico City. During 2017, he studied the program “The Company and its Fiscal Effects” at the Autonomous Technological Institute of Mexico in Mexico City. In December 2021, he obtained a Master of Laws with Honors (LL.M) from Northwestern University in the City of Chicago, Illinois. Prior to joining Anker Abogados, Kristian was part of the law firm Gonzalez Calvillo, S.C. as an intern and associate of the firm.
Recent Experience in Significant Issues
- He acted as an associate representing a Mexican public company, and its controlling shareholders, in the sale of 40% of the shares representing the company's share capital to two foreign pension funds. This transaction was structured through a public offering for the acquisition of shares in the Mexican Stock Exchange, S.A.B. de C.V., at a price per share of MXN$43.96. In addition, as part of the operation, a FIBRA-E (Energy and Infrastructure Investment Trust) was established, to which various road assets were contributed.
- He acted as an associate representing a private equity fund in the acquisition of a minority interest in a Mexican company dedicated to the commercialization of advertising spaces, which, as part of the same transaction, acquired a majority interest in a company based in the United States of America in the same industry. This acquisition was funded with capital and debt provided by a group of creditors in Mexico.
- He acted as an associate representing the controlling shareholders of a company dedicated to the manufacture and sale of sterilized products and containers in the sale of 100% of its shares to a leading European company in the manufacture of packaging materials for the medical industry. As part of the transaction, the controlling shareholders received a fragment of their consideration in shares representing the share capital of the acquiring company.
- He has acted as an associate representing a foreign private equity fund in various acquisitions in Mexico, including acquisitions of companies involved in the provision of educational services and in the food industry.
- He acted as an associate representing a company dedicated to the production of wheat flour in the negotiation and signing of a syndicated loan in the amount of up to $4.7 billion for the acquisition of one of its main competitors. He also represented the purchaser for the purpose of obtaining authorization from the Federal Competition Commission in connection with that acquisition.
- He acted as an associate representing the controlling shareholders of a company dedicated to the operation and franchising of pawn shops in the sale of 100% of its assets to a US company. This transaction won first place in the 11th edition of the Annual International M&A Awards for financial transaction of the year.
- He acted as an associate representing several investors in the acquisition of 100% of the shares of the Mexican subsidiaries of a Brazilian company dedicated to e-commerce of sporting goods.
